Our terms and conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE ANONINSIGHTS PLATFORM.

This agreement constitutes a legally binding contract between you (the “Customer” or “You”), representing your organization, and Jkidd Media (“AnonInsights,” “We,” “Us,” or “Our”) regarding your use of the AnonInsights anonymous employee feedback platform and related services (the “Service”).

By accessing or using the Service, creating an account, or clicking “I Agree” (or similar checkbox), You signify that You have read, understood, and agree to be bound by these Terms and Conditions (“Terms”) and Our Privacy Policy, incorporated herein by reference. If You do not agree to these Terms, do not use the Service.

If You are entering into this agreement on behalf of a company or other legal entity, You represent that You have the authority to bind such entity to these Terms.

1. Definitions

  • “Service”: The AnonInsights web platform, including associated software, APIs, features, content, and support services, designed for collecting and analyzing anonymous employee feedback.
  • “Customer Data”: Any data, information, or material provided or submitted by Customer or its Authorized Users to the Service, including employee contact information and survey responses.
  • “Authorized User”: An individual (e.g., administrator, manager, employee) authorized by Customer to access and use the Service under Customer’s account.
  • “Employee Feedback”: Survey responses and chat messages submitted by Authorized Users designated as employees.
  • “Anonymized Data”: Data derived from Customer Data from which all personally identifiable information has been removed or obscured such that it cannot reasonably be used to identify an individual employee.

2. The Service

  • License Grant: Subject to these Terms, AnonInsights grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during the Subscription Term solely for Customer’s internal business purposes related to employee feedback and engagement.
  • Functionality: The Service allows Authorized Users (Admins/Managers) to create and distribute surveys, view aggregated and anonymized Employee Feedback, utilize AI-powered analysis (where applicable), and engage in secure, anonymous two-way chat with employees who provide feedback, subject to the features included in Customer’s chosen subscription plan.
  • Anonymity: AnonInsights employs technical measures designed to protect the anonymity of Employee Feedback as presented within the Service interface to Admins/Managers. Individual employee identities associated with specific feedback are not displayed unless an employee provides explicit, affirmative consent through the Service’s designated “Identity Reveal” workflow. Customer agrees not to attempt to circumvent these anonymity protections.

3. Customer Obligations & Responsibilities

  • Account Security: Customer is responsible for maintaining the confidentiality of account credentials (usernames, passwords) for all its Authorized Users and for all activities that occur under its account. Customer agrees to notify AnonInsights immediately of any unauthorized use.
  • Authorized Users: Customer is responsible for managing its Authorized Users, ensuring they comply with these Terms, and for obtaining any necessary consents from employees for their participation and the collection/processing of their data via the Service.
  • Acceptable Use: Customer and its Authorized Users agree not to:
    • Use the Service for any illegal or unauthorized purpose.
    • Attempt to gain unauthorized access to the Service or its related systems or networks.
    • Interfere with or disrupt the integrity or performance of the Service.
    • Use the Service to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights.
    • Attempt to reverse engineer, decompile, or disassemble any portion of the Service.
    • Use the Service to send spam or unsolicited messages.
    • Attempt to deanonymize Employee Feedback through means outside the designated consent workflow.
  • Compliance with Laws: Customer is solely responsible for ensuring its use of the Service complies with all applicable laws, regulations, and industry standards, including those related to labor relations, data privacy, and employee communications.

4. Fees and Payment

  • Subscription Fees: Customer agrees to pay all applicable fees for the selected subscription plan as specified on the AnonInsights pricing page or in a separate order form (“Subscription Fees”).
  • Billing: Fees are typically billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated otherwise herein or required by law.
  • Payment: Customer must provide valid payment information (e.g., credit card). Customer authorizes AnonInsights (or its third-party payment processor, e.g., Stripe) to charge the provided payment method for all applicable fees.
  • Taxes: Subscription Fees do not include taxes. Customer is responsible for paying all applicable sales, use, value-added, or other taxes.
  • Changes: AnonInsights reserves the right to change Subscription Fees upon reasonable notice (e.g., at the end of a subscription term).

5. Confidentiality

  • Definition: “Confidential Information” means all non-public information disclosed by one party (“Discloser”) to the other (“Recipient”), designated as confidential or reasonably understood to be confidential, including Customer Data (for Customer) and the Service’s technology, pricing, and business plans (for AnonInsights). Employee Feedback submitted anonymously is considered confidential and subject to the anonymity protections herein.
  • Obligations: The Recipient agrees to protect the Discloser’s Confidential Information with the same degree of care it uses for its own similar information (but no less than reasonable care), use it only for purposes related to these Terms, and not disclose it to third parties without the Discloser’s permission, except as required by law or to employees/contractors under confidentiality obligations who need to know.
  • Exclusions: Confidential Information does not include information that is publicly known, already known to the Recipient, independently developed, or rightfully obtained from a third party.

6. Intellectual Property

  • AnonInsights IP: AnonInsights retains all right, title, and interest in and to the Service, including all underlying software, technology, documentation, and aggregated/anonymized usage data.
  • Customer Data: Customer retains all right, title, and interest in and to its Customer Data. Customer grants AnonInsights a worldwide, non-exclusive, royalty-free license to use, process, transmit, and store Customer Data solely as necessary to provide and improve the Service, subject to the confidentiality and anonymity provisions herein.
  • Feedback: If Customer provides suggestions or feedback regarding the Service, AnonInsights may use such feedback for any purpose without obligation to Customer.
  • Aggregated Anonymized Data: AnonInsights may collect, analyze, and use aggregated, anonymized data derived from Customer’s use of the Service (e.g., usage patterns, anonymized sentiment trends) for internal purposes, such as improving the Service, developing new features, and potentially for creating industry benchmarks (provided such data does not identify Customer or any individual).

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ANONINSIGHTS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANONINSIGHTS DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF THE SERVICE, INCLUDING IMPROVEMENTS IN EMPLOYEE RETENTION, SAFETY, OR MORALE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANONINSIGHTS OR ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANONINSIGHTS’ TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY CUSTOMER TO ANONINSIGHTS FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

Customer agrees to defend, indemnify, and hold harmless AnonInsights and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) Customer’s or its Authorized Users’ use of and access to the Service; (ii) Customer’s violation of any term of these Terms; (iii) Customer’s violation of any applicable law or regulation, including data privacy laws; or (iv) Customer’s violation of any third-party right, including privacy rights.

10. Term and Termination

  • Term: These Terms commence upon Customer’s acceptance and continue until Customer’s subscription expires or is terminated.
  • Termination for Cause: Either party may terminate these Terms if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice.
  • Termination for Convenience: Customer may terminate its subscription at the end of the current billing cycle by providing notice through account settings or contacting support. AnonInsights may terminate a free trial or free plan at any time. AnonInsights may terminate a paid subscription at the end of the current term by providing prior notice.
  • Effect of Termination: Upon termination, Customer’s right to access and use the Service ceases immediately. Customer is responsible for exporting any desired Customer Data prior to termination. AnonInsights may delete Customer Data after a reasonable period following termination, subject to its data retention policies and applicable law. Sections related to Confidentiality, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of North Carolina, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in North Carolina

12. Changes to Terms

AnonInsights reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, We will provide reasonable notice (e.g., via email or in-app notification) prior to the new terms taking effect. What constitutes a material change will be determined at Our sole discretion. By continuing to access or use the Service after those revisions become effective, You agree to be bound by the revised terms.

13. General

  • Entire Agreement: These Terms, together with the Privacy Policy and any Order Forms, constitute the entire agreement between Customer and AnonInsights concerning the Service.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
  • Assignment: Customer may not assign these Terms without AnonInsights’ prior written consent. AnonInsights may assign these Terms without restriction.
  • Notices: Notices to AnonInsights should be sent to legal@anoninsights.com. Notices to Customer will be sent to the email address associated with the Customer’s account.
